These By-Laws Are The Clubs Rules And Regulations Governing The Operation Of The Chapter And The Chapter Membership.

ARTICLE 1 - Section 1- NAME:  This Chapter shall be called "Atlantic Bassmasters"

ARTICLE 1 - Section 2- PURPOSE:  Our stated purpose shall be to improve our bass fishing skills through a fellowship and friendly exchange of techniques and ideas.  We agree to cooperate in unison as a "TEAM" for the general benefit and welfare of the Chapter and its members.

ARTICLE 2 - Section 1 - MEMBERSHIP:  The Chapter shall at all times maintain a minimum of six (6) members.  This Chapter shall maintain its affiliation with B.A.S.S. and a state affiliated Federation.  This Chapter shall be open to new members at all times.

ARTICLE 2 - Section 2 - REQUIREMENTS OF MEMBERSHIP: To become a Chapter member a person shall...a) Express a genuine interest at a Chapter monthly meeting...b) Be sponsored by at least one Chapter member...c) Be sixteen (16) years of age or older...d) Be voted on by the Chapter five (5) member 'Executive Board'.  The vote shall be by secret ballot and affirmation must be unanimous.

ARTICLE 2 - Section 3 - MEMBERSHIP DUES:  Only the 'Executive Board' has the authority to establish the clubs yearly dues.  Chapter dues shall be paid annually by January 31st of the new year.  New members dues are payable upon entry into the Chapter.

ARTICLE 3 - Section 1 - CHAPTER OFFICERS:  The five (5) member 'Executive Board' shall consist of the following Officers. a.) President  b) Vice-President  c) Treasurer  d) Secretary   e) Executive Officer.  A person may NOT hold more than one office simultaneously. 

ARTICLE 3 - Section 2 - NOMINATIONS:  All nominations for elected office must be made at the regularly scheduled meeting in October.  All nominations must be seconded by a member in attendance and recorded by the Chapter Secretary.

ARTICLE 3 - Section 3 - ELECTIONS:  The election of Chapter Officers (5) shall be held at the regularly scheduled Chapter meeting in November. There must be a minimum of 50% of the Chapters members in attendance for the election to be held.  Election shall be determined by a simple majority vote of the members in attendance.  Election for each office shall be held separately.

ARTICLE 3 - Section 4 - ELIGIBILITY TO VOTE:  Each Chapter member in good standing is entitled to cast one vote.  Proxy votes are not permitted.

ARTICLE 3 - Section 5 - TERMS OF OFFICE:  The term of office for each 'Executive Board' officer is one year.  The term shall begin on January 1st of the new year and end on the last day of December of the same year.

ARTICLE 3 - Section 6 - VACANCIES:  In the event an elected office becomes vacant, the Chapter President shall appoint a new officer with the approval of the existing 'Executive Board' .  The 'appointee' will serve out the remainder of the term of the office vacated.  If the office of  Chapter President becomes vacant, the Chapter Vice-President will assume all duties and responsibilities of that office.  He may then appoint a new officer to fill out the remainder of his term.

ARTICLE 3 - Section 7 - ELIGIBILITY TO HOLD OFFICE:  To be eligible to hold office a members must, a) Have been a member in good standing for a minimum of two years. b) Have attended a minimum 75% of the Chapters regular monthly meetings during the preceding year. c) Have shown an active interest in all Chapter functions.

ARTICLE 3 - Section 8 - REMOVAL OF OFFICERS:  A Chapter Officer who is derelict in his duties may be brought up on disciplinary charges by any member of the Chapter.  The procedure to effect removal follow below.

a) The charge against a Chapter Officer must be presented in writing  to any member of the 'Executive Board'.

b) The 'Executive Board' will then convene a special 'Disciplinary Hearing' at which time the Officer in question will be presented with the written charges against him.  He will be given every opportunity to answer these charges.

c) The Chapter President, or Vice-President will appoint a three (3) member 'Judiciary Committee' who's responsibility shall be to investigate the charges and make their recommendation to the President or Vice-President.

d) The 'Judiciary Committee' shall consist of  a) An Executive Board member b) A Member At Large and c) A Chapter member in good standing from the general membership.

e) The Executive Board being bound by their recommendation shall conduct by secret ballot a vote of 'Judicial Action'  for removal or dismissal of all charges.  A unanimous decision of the Executive Board is required to effect removal.

f) Any Chapter Officer removed from his office may be asked to resign from the Chapter as well if the the offense is considered egregious.

g) The removal of a duly elected Chapter Officer is a very serious matter and any action to remove the Officer will be undertaken with extreme diligence

ARTICLE 4 - Section 1 - MEETINGS:  The Chapter shall hold regularly scheduled monthly meetings at a pre-determined time and place.  A Chapter member is required to attend a minimum of one meeting per-quarter.

ARTICLE 4 - Section 2 - EXECUTIVE BOARD MEETINGS:  The Chapters Executive Board shall hold meetings to discuss and plan the clubs direction for the coming year.  The Executive Board shall plan and coordinate any and all meetings dictated by Chapter events.  The Chapter treasury shall reimburse any and all expenditures  incurred for the purpose of such meetings, including refreshments.

ARTICLE  5  -  Section  1  -  EXECUTIVE BOARD VOTE:  A simple majority shall decide all votes.  The Chapter President does not have a vote unless there is tie and may then cast his vote to break that tie.  There shall be no proxy votes.

ARTICLE  5  -  Section  2  -  PRESIDENTIAL VETO:  The Chapter President does not have veto power.  However, he does have the authority to bring any decision or rule enacted by the 'Executive Board' to the Chapter membership. If in his opinion , a decision or ruling is not in the best interest of the club,  he may bring it up for a 'general membership' vote.  That vote being final.

ARTICLE  5 - Section 3 - EXECUTIVE BOARD:  The Chapters Executive Board shall consist of five (5) elected Officers  (see Article 3 - Section 1  Chapter Officers) 

ARTICLE  5  -  Section 4 - BOARD OF DIRECTORS:  The seven (7) man club 'Board Of Directors'  shall consist of the Chapter President, Vice-President, Secretary, Treasurer, Executive Officer and two (2) Members At Large

ARTICLE  5 - Section 5  - DUTIES OF OFFICERS:  Each member of the Executive Board shall fulfill and discharge his or her duties as those duties are described below.

PRESIDENT:  Shall be the responsible and Chief Administrative Officer of the Chapter.  He shall preside at all meetings on the Chapter and the Executive Board.  He shall appoint all committees of the Chapter and shall be the de-facto head of those committees.  He shall ensure that all Chapter Officers perform their duties and functions in accordance with the Chapters By-Laws.

VICE-PRESIDENT:  The Chapter Vice-President shall be responsible for special projects assigned to him or her by the Chapter President.  He shall be the ex-officio of the 'Tournament Committee and the Rules Committee and shall serve on all committees designated by the Chapter President.

SECRETARY:  The Chapter Secretary shall be the custodian of all records and papers of the Chapter and keep a complete and accurate record of all proceedings. To report as requested at the regularly schedule monthly meeting the minutes from the prior months meeting.  The Secretary shall be the ex-officio of the Membership Committee  and upon request make all minutes available to the Chapter President and the Executive Board in a timely fashion.  It shall be his or her responsibility to hold for safe keeping the Chapters  B.A.S.S. Charter.

TREASURER:  The Chapter Treasurer shall be the custodian of all Chapter funds.  The Treasurer shall keep an accurate record of all receipts and disbursements.  He or she shall be required to report at the regularly schedule monthly meeting the balance of funds in the Chapter Treasury and shall inform the membership as to how those funds are invested, used or encumbered.  The accounts of the Treasurer shall be open at all times for inspection by the Chapter President and the Executive Board.

EXECUTIVE OFFICER:  The Chapters Executive Officer shall assist the Chapter President with all business pertaining to the Chapter.  He shall interview and recommend to the Chapter President for appointment all Committee heads.  He will bring the monthly Chapter meetings to order and when necessary control the proceedings to maintain that order.

ARTICLE  5  -  Section  6  - MEMBERS AT LARGE:  Shall be the "Watch Dogs" for the Chapters membership.  They shall be appointed by the 'Chapter President and actively engage in a constructive dialogue with the 'Executive Board'.  They do not participate in any vote of the 'Executive Board' with one exception.  If an 'Executive Board' vote is necessary and one of the elected officers of the 'Executive Board' is not present, one or both of the 'Members At Large' will be given their vote

ARTICLE 5 - Section 7 - COMMITTEES:  All Committee Chairman shall be selected by the Chapters Executive Officer and appointed by the Chapter President.  All members of a Committee shall be selected by the Committee Chairman with the approval of the Chapter President.  The term of each Committee shall coincide with that of the Chapter President.  The Chapter President shall be the de-facto head of all Committees with his word being the final word in all matters.  Only the Chapter President may remove a Committee Chairman or a member of the Committee.

ARTICLE  5 -  Section 8  - REMOVAL OF APPOINTEES:  The Chapter President, and he alone may remove non-elected members of the 'Board Of Directors' or Committees and their Chairman.

ARTICLE  5 -  Section 9  -  REMOVAL FROM  MEMBERSHIP:  A Chapter member may be removed from the membership roll for the following offenses a.) Failure to pay his or her dues.  b.) Actions that would reflect negatively upon the Chapter.  c.) Disqualification from any event for cheating.  d.) The use of illegal stimulants (alcohol or controlled substance) during an event.  e.) Failure to embrace the "TEAM" concept of the Chapter by either holding back, or refusing to share information with a fellow Chapter member.  Such a break of Chapter etiquette will be dealt with swiftly and decisively.  Removal of a member is a serious matter and will be undertaken only after careful examination of the facts and with extreme diligence.

ARTICLE  6 -  Section 1 - TREASURY:  All monies taken in by the Chapter shall be deposited in the Chapter treasury in a timely manner.  The elected Chapter Treasurer shall be responsible for all deposits and disbursements  and report on the condition of the Chapter treasury at the Chapters monthly meeting of the membership.

ARTICLE  6  -  Section  2  - FINANCES:  All monies in the Chapter treasury shall belong to the members of the Chapter.  It shall be this Chapters policy that once dues are paid and or fees collected, these monies shall be deemed non-refundable.  NO EXCEPTIONS.  All monies in the Chapter Treasury shall remain with the Chapter in the event a "splinter group" decides to leave the Chapter.

ARTICLE  6  -  Section  3 -  DISBURSEMENTS:  All Chapter disbursements shall be made with the approval of the 'Executive Board'.

ARTICLE   7  -  Section  1  -  CHALLENGE CUP:  The Challenge Cup Team shall consist of six (6) members.  Qualification shall be the last tournament prior to the the actual date of the event (Third Saturday In July).  All tournaments shall count towards qualification including the Early Bird..  If a Chapter member who qualifies is for any reason unable to attend, the member who is in the seventh (7th) position shall be deemed first Alternate.  The member who is in the eighth  (8th) position shall be the 2nd Alternate.  If either of the Alternates are unable to attend, the Executive Board will choose the clubs Alternate.  It shall be the responsibility of the Chapter to pay the teams entry fees.  Any monies that the team may win as a result of the competition  may be kept by the members of the team.  Team entry fees do not have to be repaid to the Chapter.

ARTICLE  8  -  Section 1  -  AMENDING THE BY-LAWS:  The Chapter By-Laws may be amended at any regularly scheduled Chapter monthly meeting.  A minimum of 50% of the Chapter membership must be in attendance for a vote to be taken.  A minimum of 50% of the Board Of Directors must be in attendance as well as the Chapter President.  A notice of the impending By-Law change must be given to all Chapter members at least one month in advance of the actual vote being taken.  A 2/3rds majority vote of the members in attendance is required to effect a By-Law change.  Fishing Rules and Regulations are not By-Laws and may be changed on a year to year basis by the Chapters Executive Board".
